- Explain, do not just comply: Use the comply or explain regime as a strength by setting out the reasoning behind board decisions and any departures from the code. Investors consistently say they want the explanation and the context, not box-ticking. Clear, honest explanations build trust and usually earn support.
- Get externally fluent on technology: Build the board's understanding of how AI, pass-through voting and tokenisation are reshaping ownership, voting and engagement. Keep the company's story consistent across every channel and spokesperson. Treat continuous, coherent dialogue with the market as a growing expectation rather than an occasional event.
